1. Introduction
Welcome to Grofyy (referred to as “we,” “us,” “our,” or the “Platform”). We operate an online platform that offers two core services:
- Ridesharing Service: Facilitating connections between drivers (referred to as “Captains”) and passengers (referred to as “Passengers”) who wish to share rides.
- Accommodation Service: Allowing property owners, landlords, or managers (referred to as “Property Listers”) to advertise rooms or properties, and helping prospective tenants or guests (referred to as “Renters” or “Guests”) find suitable accommodations.
By creating an account, accessing, or using Grofyy in any way, you agree to be bound by these Terms & Conditions (“T&Cs”). If you do not agree with any part of these T&Cs, do not use Grofyy.
1.1 Geographic Scope
These T&Cs apply to users in the United States, Canada, the United Kingdom, European Union (EU) / European Economic Area (EEA) countries, and other territories where we choose to operate. Certain jurisdiction-specific laws (e.g., consumer protection, housing regulations) may override or supplement parts of these T&Cs.
1.2 Additional Policies
- Privacy Policy: Explains how we collect, store, and process personal data.
- Liability Waiver: A separate, binding document detailing assumption of risks and release of claims for both ridesharing and accommodation activities on Grofyy.
2. Eligibility and Restrictions
2.1 Age Requirement
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use Grofyy’s ridesharing and accommodation services.
- Minors (under 18 or under the age of majority) are not permitted to register for or use Grofyy’s services unless explicitly allowed by local law and accompanied or represented by a legal guardian.
2.2 Legal Capacity
By registering, you confirm that you have the full legal capacity to enter into binding agreements under the laws of your country or residence.
2.3 Territorial Restrictions
Our platform may be restricted or unavailable in certain regions due to legal, regulatory, or commercial reasons. We reserve the right to limit availability in any jurisdiction.
3. Account Registration and Security
3.1 Accurate Information
When creating your account, you agree to provide current, complete, and truthful information (e.g., name, contact details). You must update your account if any information changes.
3.2 Account Credentials
You are responsible for maintaining the confidentiality of your login details. You agree to notify us immediately if you suspect unauthorized access or any breach of security.
3.3 Multiple or False Accounts
Creating multiple accounts for the same individual or creating an account with false or misleading information is strictly prohibited. We reserve the right to suspend or terminate such accounts without notice.
3.4 No Physical Offices
Grofyy may not have physical offices in all regions. All official notices and communications must be handled through the Platform, email, or other digital means we provide.
4. Nature of Grofyy’s Services
4.1 Platform Only
- Grofyy is a neutral technology platform that allows users to post or find ride opportunities and property listings.
- We are not a transportation company, real estate brokerage, insurer, or employer. We do not oversee or manage the rides or property rentals in any capacity.
4.2 No Endorsement
We do not endorse, verify, or guarantee the quality, safety, suitability, legality, or authenticity of any user, vehicle, property, or listing. All risk assessments and transactions are handled directly by users.
4.3 No Background Checks or Screening
- We do not conduct criminal, credit, driving-record, or identity checks on Captains, Passengers, Property Listers, or Renters.
- Users are solely responsible for vetting potential drivers, passengers, landlords, or tenants.
5. Ridesharing Service Terms
5.1 Captains’ Obligations
- Compliance: Captains must obey all local driving laws, hold a valid driver’s license, maintain current vehicle registration, and secure any insurance required by law.
- Insurance: Captains are solely responsible for ensuring they have appropriate coverage to transport Passengers in their vehicle (including liability coverage).
- Accurate Listings: Captains must provide accurate trip information (departure time, pickup location, cost-sharing amount, if applicable).
5.2 Passengers’ Obligations
- Due Diligence: Passengers must ensure a Captain’s license, insurance, and vehicle condition meet their standards for personal safety.
- Behavior: Passengers must behave respectfully, comply with the Captain’s reasonable requirements, and abide by all local road safety regulations.
5.3 Ride Arrangements
- Independent Agreements: Any agreement on shared costs, route, or schedule is strictly between the Captain and the Passenger. Grofyy is not a party to these private arrangements.
- Modifications/Cancellations: Both parties are responsible for communicating schedule changes or cancellations promptly.
5.4 No Liability for Disputes
We will not mediate disputes (e.g., cost or schedule disagreements, alleged misconduct) between Captains and Passengers, nor will we provide refunds or compensation for rides not taken.
6. Accommodation Service Terms
6.1 Property Listers’ Obligations
- Accurate Listings: Property Listers must provide truthful information regarding the property’s location, rental price, available dates, and any other relevant details (utilities, house rules, etc.).
- Legal Compliance: Listers are solely responsible for ensuring the property and rental arrangement comply with local housing laws, landlord-tenant regulations, occupancy limits, zoning rules, short-term rental permits, tax obligations, and safety codes.
- Insurance & Safety: Listers should maintain appropriate property insurance, ensure the property is habitable, and address any safety hazards.
6.2 Renters’ (Guests’) Obligations
- Due Diligence: Before booking or renting, Renters should independently verify property details, pricing, lease conditions, local regulations, and the Lister’s legitimacy.
- Rental Agreements: Renters may be required to sign a separate lease or contract with the Property Lister. Grofyy is not a party to such agreements.
- Property Care: Renters must treat the property with care, abide by lease terms, and respect any house rules set by the Lister.
6.3 No Liability for Disputes
If disputes arise regarding deposits, unpaid rent, property damage, or violations of local housing laws, Grofyy is not liable. We will not serve as a mediator, arbitrator, or counselor in these disputes.
6.4 No Guarantee of Suitability
Grofyy cannot guarantee that any listed property meets legal standards (building codes, fire safety, etc.) or is appropriate for your needs. All risk is assumed by the parties involved.
7. Payment Terms & Fees
7.1 Free vs. Paid Features
- Currently, Grofyy may offer some or all features free of charge. However, we reserve the right to introduce fees or premium services in the future (e.g., enhanced listings, priority ride matching).
- Users will be informed of any changes, and continuing use of the Service implies acceptance of revised fees.
7.2 Direct Transactions
- Ridesharing: Cost contributions (fuel, tolls, etc.) are arranged directly between Captain and Passenger. Grofyy does not handle these transactions.
- Accommodations: Rent, deposits, or any other financial arrangements are purely between the Property Lister and the Renter. Grofyy does not collect these payments nor guarantee them.
7.3 Refunds or Chargebacks
Since Grofyy does not process ride or accommodation payments, any refund or chargeback requests are strictly between the parties involved. We are not responsible for resolving financial disputes.
8. Conduct & Prohibited Activities
8.1 User Conduct
You agree to:
- Comply with all applicable laws (e.g., traffic laws, housing regulations, consumer protection statutes).
- Provide only accurate and lawful content or information.
- Respect the rights, privacy, and safety of others.
8.2 Prohibited Activities
You shall not:
- Post false, misleading, or defamatory information.
- Use Grofyy for unlawful or fraudulent purposes.
- Harass, threaten, or discriminate against others.
- Distribute viruses or malicious code.
- Collect or store personal data of others without consent.
- Infringe upon the intellectual property of Grofyy or other users.
9. Intellectual Property Rights
9.1 Platform Content
All text, graphics, user interfaces, photos, trademarks, logos, sounds, artwork, and computer code on Grofyy are either owned by us or licensed to us. You may not copy, reproduce, or redistribute Platform content without our express written permission.
9.2 User-Generated Content
When you post content (e.g., a property listing, ride offer, or review), you grant Grofyy a worldwide, non-exclusive, royalty-free license to use, modify, distribute, and display such content for the operation of the Service.
You warrant that you own or have permission to use any content you post and that it does not violate any third-party rights.
10. Disclaimer of Warranties
10.1 Service “AS IS”
Grofyy provides the Platform and Services on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties (express or implied) to the fullest extent allowed by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.
10.2 No Guarantees
We do not guarantee:
- Continuous, secure, or error-free operation of the Platform.
- Accuracy, completeness, or reliability of any content or listings.
- Availability or suitability of any ride, Captain, Passenger, property, or Lister.
11. Limitation of Liability
11.1 Extent of Liability
To the maximum extent permitted by applicable law, Grofyy (including officers, directors, employees, or agents) shall not be liable for any indirect, incidental, consequential, special, or punitive damages (e.g., lost profits, personal injury, property damage, emotional distress) resulting from or related to your use of the Platform.
11.2 Cap on Liability
If, despite the disclaimers herein, Grofyy is found liable, our total liability shall not exceed the amount you have paid us (if any) in the twelve (12) months prior to the event giving rise to liability. If no fees were paid, our liability is zero (0).
11.3 Jurisdictional Limitations
Certain jurisdictions may not allow the exclusion or limitation of certain damages. In such cases, the above limitations apply to the fullest extent allowed by local law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Grofyy, its officers, directors, employees, and agents against any claims, actions, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your violation of these T&Cs, our Liability Waiver, or any applicable law/regulation.
- Your misuse of or actions on the Platform (e.g., misleading listings, illegal activities).
- Your disputes with other users (Captains, Passengers, Property Listers, Renters).
13. Governing Law and Dispute Resolution
13.1 Choice of Law
- U.S. Users: These T&Cs are governed by the laws of the U.S. state or territory of the user’s residence, to the extent permitted by applicable law, along with any mandatory consumer protections.
- Canadian Users: Governed by the laws of the province/territory where the user resides, unless local consumer protection laws require otherwise.
- UK/EU Users: Governed by the laws of the country where the user habitually resides, consistent with mandatory consumer protections in the UK/EU/EEA.
- Other Jurisdictions: Governed by local laws if required by mandatory provisions.
13.2 Venue and Jurisdiction
Unless prohibited by local mandatory law, any legal dispute arising out of or related to these T&Cs shall be brought in the courts of the user’s place of residence or as otherwise required by law.
13.3 Consumer Rights
Nothing in these T&Cs deprives you of any non-waivable consumer rights under the law of your residence.
14. Termination
14.1 Termination by Grofyy
We may suspend or terminate your access to the Platform at any time, without prior notice, if we suspect you have breached these T&Cs or engaged in conduct harmful to Grofyy or other users.
14.2 Effect of Termination
Upon termination, you must discontinue all use of Grofyy, and any rights or licenses granted to you under these T&Cs end immediately. Provisions regarding liability, indemnification, and dispute resolution shall survive termination.
15. Grofyy – Comprehensive Liability Waiver
This Liability Waiver (“Waiver”) is incorporated by reference into Grofyy’s Terms & Conditions (“T&Cs”) and applies to all users of the ridesharing and accommodation services on Grofyy (collectively, “Services”). By accessing or using Grofyy, you acknowledge that you have read, understood, and agreed to this Waiver in its entirety. If you do not agree, do not use Grofyy’s Services.
1. Acknowledgment and Assumption of Risks
1.1 Ridesharing Risks
You understand and accept that ridesharing through Grofyy involves significant risks, including but not limited to:
- Vehicle Accidents or Collisions
- Mechanical failures, driver error, adverse weather, or road conditions can result in injuries, death, or property damage.
- Reckless or Negligent Driving
- Captains or third parties on the road may fail to follow traffic laws, endangering Passengers.
- Exposure to Criminal Activities
- Theft, assault, harassment, or other crimes can occur before, during, or after a ride.
- Sexual Assault or Other Violent Crimes
- There is a risk of serious criminal offenses, including sexual assault, physical assault, stalking, kidnapping, or abduction, which may be perpetrated by Captains, Passengers, or third parties.
- Traffic Violations or Fines
- Local regulations (e.g., speeding, parking) can result in penalties that Grofyy does not monitor or control.
- Property Loss or Damage
- Personal belongings brought into a Captain’s vehicle may be lost, stolen, or damaged.
1.2 Accommodation Risks
You acknowledge and accept that using Grofyy to find or list accommodations carries substantial risks, which may include:
- Misrepresentation or Inaccuracy of Property Listings
- Property Listers may provide incomplete, inaccurate, or deceptive information about the property’s condition, location, or amenities.
- Unsafe or Unsanitary Conditions
- Hidden hazards (e.g., mold, structural defects, pests) can pose health or safety threats.
- Disputes Over Lease Terms, Rent, Deposits, or Damage
- Conflicts about payments, security deposits, or property upkeep remain solely between the Lister and Renter.
- Violent or Criminal Behavior
- Sexual assault, physical assault, theft, or abduction can occur at any property, perpetrated by landlords, tenants, neighbors, or third parties.
- Local Law Compliance
- Property Listers may fail to follow zoning, short-term rental, or insurance rules, causing legal complications for Renters.
1.3 User-Driven Due Diligence
Grofyy does not conduct background checks, driving history checks, credit checks, or criminal record checks on any user (including Captains, Passengers, Property Listers, Renters). You are solely responsible for:
- Verifying a Captain’s insurance, driver’s license, and vehicle safety.
- Confirming a Property Lister’s ownership or authority to rent and the property’s habitability.
- Researching local laws and regulations (e.g., cross-border travel requirements, landlord-tenant statutes).
- Taking personal safety measures, such as meeting in public areas or informing a friend of your location.
1.4 Minors
If minors are allowed to use the Services in certain jurisdictions (with guardian consent):
- The parent or legal guardian assumes all risks on behalf of the minor.
- Grofyy disclaims all liability for any harm, injury, or wrongdoing that occurs to or is caused by a minor using the Services.
16. Miscellaneous
16.1 Entire Agreement
These T&Cs, along with our Privacy Policy and the Liability Waiver, constitute the entire agreement between you and Grofyy regarding your use of the Platform.
16.2 Severability
If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
16.3 No Waiver
Our failure to enforce any provision does not waive our right to do so later.
16.4 Assignment
You may not transfer your rights or obligations under these T&Cs to anyone else without our written consent. We may assign our rights to any affiliate or successor.
16.5 Modification
We may modify these T&Cs at any time by posting a revised version on the Platform or notifying you as required by law. Your continued use of Grofyy after such changes constitutes acceptance of the new T&Cs.
